Merger Agreement
On 30 April 2015 the General Shareholders Assemblies of AIGRE S.A. (with domicile in Montevideo, Uruguay) and GREEN DOCK LTD. (with domicile in the British Virgins Islands) agreed to merge.
On 30 April 2015 the General Shareholders Assemblies of AIGRE S.A. (with domicile in Montevideo, Uruguay) and GREEN DOCK LTD. (with domicile in the British Virgins Islands) agreed to merge, so that GREEN DOCK LTD. will be dissolved without liquidation, to be absorbed by and transfer all its assets to AIGRE S.A.. The capital of AIGRE S.A. will increase to US$50,000.00. The Merger Agreement and financial statements are available to shareholders and creditors at 25 de Mayo Street, P2, Montevideo, Uruguay, for the statutory period. All creditors are convened to bring forward their credits in the same place and period.
